Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Spread Foundry — the website at spreadfoundry.com, the application, and related services (together, the “Service”). The Service is operated by Prophetizo LLC, doing business as MorphIQ Labs (“Prophetizo,” “we,” “us,” or “our”). By joining the waitlist, creating an account, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1Who may use Spread Foundry

You must be at least 18 years old and able to form a binding contract to use the Service. By using it, you represent that you meet these requirements, that the information you provide is accurate, and that you are not barred from using the Service under the laws of your jurisdiction.

2What Spread Foundry is — and isn't

Spread Foundry is a research and decision-support tool for self-directed options traders. It surfaces analytics, ranked candidates, and risk context to help you reach your own trading decisions.
  • We are not a broker-dealer, investment adviser, futures commission merchant, or any kind of financial institution.
  • We do not route, execute, or place orders; we do not connect to your brokerage account; and we do not hold, custody, or have access to your funds or securities.
  • You execute any trade on your own, on a platform of your choosing, and you are solely responsible for it.

3Not investment advice

The Service is provided for informational and educational purposes only. Nothing on the Service is, or should be construed as, investment, financial, legal, tax, or other advice, or a recommendation, solicitation, or offer to buy or sell any security or instrument. We are not your fiduciary. You are solely responsible for evaluating the merits and risks of any decision and should consult your own licensed advisers.

4Options risk

Options trading involves a high degree of risk and is not suitable for all investors. You can lose some or all of your investment, and certain strategies can expose you to losses exceeding your initial outlay. Before trading options you should review the Options Clearing Corporation’s disclosure document, Characteristics and Risks of Standardized Options, and understand the risks specific to the strategies you employ.

5Analytics, data, and no guaranteed outcomes

Outputs such as probability of profit, return on risk, Greeks, scenarios, regime reads, and rankings are model-based estimates, not predictions or guarantees of any result. Markets are uncertain and models can be wrong. Data may be delayed, end-of-day, incomplete, or sourced from third parties, and the Service may contain errors or be unavailable. We do not warrant the accuracy, completeness, timeliness, or fitness of any data or analytic for any purpose.

6Accounts and the waitlist

Some features require an account or waitlist registration. You are responsible for the accuracy of your registration details, for safeguarding your credentials, and for all activity under your account. Notify us promptly of any unauthorized use. Waitlist placement and any associated founder pricing are offered at our discretion and may be modified before launch.

7Subscriptions, pricing, and billing

Paid plans are billed in advance on a recurring basis until cancelled. Founder pricing, where offered, is described on the pricing page and applies for the period stated there; standard pricing applies thereafter. Fees are exclusive of taxes, which you are responsible for. Except where required by law, payments are non-refundable. You may cancel at any time, effective at the end of the current billing period. We may change prices on prospective, advance notice.

8Acceptable use

You agree not to:
  • use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • scrape, harvest, or systematically extract data, or resell or redistribute the Service or its data;
  • reverse engineer, decompile, or attempt to derive source code, models, or underlying engines;
  • interfere with, overburden, or disrupt the Service or circumvent its access controls or rate limits;
  • misrepresent the Service’s outputs as advice, signals, or guaranteed results to any third party.

9Intellectual property

The Service, including its software, content, design, and the Spread Foundry, MorphIQ Labs, FerroSpread, FerroRisk, and FerroWave names and marks, is owned by Prophetizo LLC or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own internal, non-commercial trading research. All rights not expressly granted are reserved.

10Your content and data

You retain ownership of the inputs, journals, and configurations you create (“Your Content”). You grant us a license to host, process, and display Your Content solely to operate and improve the Service. You can export Your Content, and we do not sell your individual spread constructions or order flow. Our handling of personal data is described in our Privacy Policy.

11Third-party services and data

The Service relies on third-party providers, including market-data vendors and the Ferro analytics engines, and may link to third-party sites. We are not responsible for third-party services, data, or content, and your use of them may be subject to their own terms.

12Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any output will be accurate or achieve any result.

13Limitation of liability

To the fullest extent permitted by law, Prophetizo LLC and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost trading gains, or trading losses, arising out of or relating to the Service. Our total liability for all claims relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim or one hundred U.S. dollars (USD 100).

14Indemnification

You agree to indemnify and hold harmless Prophetizo LLC and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your trading decisions, Your Content, or your breach of these Terms.

15Changes to the Service and these Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may also update these Terms; when we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or to protect the Service or other users. You may stop using the Service at any time. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

17Governing law and disputes

These Terms are governed by the laws of the United States and the state in which Prophetizo LLC is organized, without regard to conflict-of-laws principles. You agree that any dispute will be resolved in the courts located in that jurisdiction, and you consent to their personal jurisdiction, except where applicable law provides otherwise.
